Global tech company Uniguest completes second UK acquisition with help from Cripps Pemberton Greenish
Cripps Pemberton Greenish has advised Uniguest on its successful acquisition of UK headquartered Tripleplay, a market leader in the development and delivery of IPTV, digital signage, and video streaming solutions.
Private equity backed Uniguest is a global leader in providing highly secure, fully managed engagement technology solutions to the hospitality, senior living, specialty retail, education, and corporate sectors. Its acquisition of Tripleplay complements the addition of ONELAN last year and creates a global leader for IPTV, digital signage, and room booking solutions.
The Cripps Pemberton Greenish team, led by Salim Somjee and supported by Lowri Jones and Aleks Wulff (corporate), Elizabeth Middleton (tax), Emma Saunders (employment) and Lisa Steer (real estate), worked closely with Uniguest and their US lawyers, Kramer Levin Naftalis & Frankel LLP on all UK aspects of the transaction, including the financing of the deal. The related due diligence exercise, which involved multiple jurisdictions, was co-ordinated by the Cripps Transaction Services team.
Jeff Hiscox, CEO of Uniguest, said “This is the 2nd acquisition we have done in the UK in the last 15 months and both times Cripps exceeded expectations. This particular acquisition had a number of moving parts with various foreign legal entities, but Salim, Lowri, and Aleks were able to manage through it and get us to our close date on time. They are always a pleasure to work with”.
